Welcome to the Assisters Developer Platform. These Terms of Service ("Terms") govern your access to and use of the Assisters APIs, SDKs, and developer services (collectively, the "Services") operated by Assisters, LLC ("Assisters," "we," "us," or "our").
1. Acceptance of Terms
By accessing or using our APIs, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
You must be at least 18 years old and have the legal authority to enter into binding agreements to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
2. API Access and Authentication
API Keys
To access our APIs, you must create an account and obtain API keys. You are responsible for safeguarding your API keys and must not share them with unauthorized parties. You are responsible for all activities that occur using your API keys.
Rate Limits
API access is subject to rate limits based on your subscription tier. Exceeding rate limits may result in throttling or temporary suspension of access. We reserve the right to modify rate limits with notice.
Key Security
You must immediately notify us of any unauthorized use of your API keys or any other breach of security. You may regenerate your API keys at any time through your dashboard.
3. Acceptable Use
You agree not to use our APIs to:
- Violate any applicable laws or regulations
- Generate content that is illegal, harmful, or violates third-party rights
- Attempt to circumvent rate limits or security measures
- Reverse engineer, decompile, or disassemble our Services
- Use automated systems to abuse the API beyond reasonable use
- Resell API access without authorization
- Generate CSAM or other exploitative content
- Build products that compete directly with our Services
- Misrepresent the source of AI-generated content
4. Pricing and Payment
Usage-Based Billing
API usage is billed based on tokens consumed. Current pricing is displayed on our pricing page and in your dashboard. We reserve the right to modify pricing with 30 days notice.
Subscription Plans
Subscription plans include a monthly token allowance. Usage beyond your allowance is billed at pay-as-you-go rates. Unused tokens do not roll over to the next billing period.
Refunds
Prepaid tokens and subscription fees are non-refundable except as required by law. If you believe you were incorrectly charged, please contact us within 30 days.
5. Data and Privacy
We process data submitted through our APIs as described in our Privacy Policy. You are responsible for obtaining appropriate consent from your users before submitting their data to our APIs.
API request and response data may be retained temporarily for operational purposes including abuse prevention, debugging, and service improvement. You can request data deletion through your dashboard settings.
6. Intellectual Property
You retain ownership of all content you submit to our APIs. You grant us a limited license to process your content solely to provide the Services.
Output generated by our models based on your prompts is owned by you, subject to the underlying model licenses. You may use such output for any lawful purpose.
Our APIs, models, documentation, and related intellectual property remain our exclusive property. These Terms do not grant you any rights to our IP except as expressly stated.
7. Service Level Agreement
Enterprise customers are eligible for our Service Level Agreement (SLA), which provides uptime guarantees and service credits. Details are available on our SLA page.
Free and Developer tier users receive best-effort service without uptime guarantees.
8. Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
Our total liability for any claim shall not exceed the amounts you paid to us in the twelve months preceding the claim, or $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9. Termination
You may terminate your account at any time through your dashboard. We may suspend or terminate your access immediately for violation of these Terms or for any reason with 30 days notice.
Upon termination, your API keys will be revoked and your access to the Services will cease. We may retain certain data as required by law or for legitimate business purposes.
10. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in Delaware.
11. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or dashboard notification. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
